DSC vs eSign: Which Digital Signing Method Does Your Business Need?

Introduction

As filings, registrations, tenders, and contracts move online, businesses are increasingly asked to sign documents electronically. Two options come up most often: the Digital Signature Certificate (DSC) and eSign. They are often treated as interchangeable, but they work differently, are used for different purposes, and many businesses find they need both.

What is a Digital Signature Certificate (DSC)?

A DSC is a certificate issued by a licensed Certifying Authority that binds your identity to a key pair used for signing. It is typically stored on a hardware token, which means it can be carried between systems and used wherever the corresponding software and drivers are installed. A DSC carries the identity of the holder and is validated against the issuing authority’s chain of trust, which is why statutory portals rely on it for filings and registrations. It has a defined validity period and must be renewed before expiry.

What is eSign?

eSign is an online electronic signature service that authenticates the signer using Aadhaar-based verification, usually through an OTP sent to the registered mobile number. There is no physical token to carry. Because authentication depends on an Aadhaar-linked mobile number, eSign works well for one-off or ad-hoc signing, and it is commonly accepted for many government and financial workflows. It is tied to the individual and depends on the availability of the service at the time of signing.

Key Differences

  • Form: a DSC is issued to a person or organisation and stored on a token; eSign is an online service accessed on demand.

  • Authentication: a DSC relies on the certificate and its PIN; eSign relies on Aadhaar-linked OTP verification.

  • Portability: a token-based DSC can be used across systems and locations; eSign is tied to the individual’s verified identity rather than a device.

  • Bulk use: repetitive statutory filings are generally smoother with a DSC, as it does not depend on OTP delivery for each signature.

  • Renewal: a DSC must be renewed periodically and reissued; there is no equivalent cycle for eSign.

  • Acceptance: some portals specifically require a DSC of a prescribed class, while others accept eSign for certain documents. Always check the requirement of the specific portal.

Which Should You Choose?

If you are incorporating a company, filing with the MCA, importing or exporting and needing a DGFT certificate, participating in tenders, or making recurring statutory filings, a DSC is usually required. If you need to sign an individual document quickly and your portal accepts eSign, it can be the faster route. Many businesses hold a DSC for the entity and its directors, and use eSign for individual acknowledgements.

Practical Considerations

  • Keep your token safe and set a strong PIN; tokens that are lost are not recoverable and must be reissued.

  • Ensure the Aadhaar-linked mobile number for eSign is current and accessible to the authorised signatory.

  • Note DSC expiry dates and renew ahead of filing deadlines rather than during them.

  • Confirm the class and type of certificate the target portal requires, as issuing the wrong certificate wastes time.

Conclusion

DSC and eSign solve different problems. A DSC is the workhorse for statutory filings and registrations, while eSign is convenient for individual, ad-hoc signing where it is accepted. Understanding which one a portal requires, and keeping both available when relevant, prevents the delays that come from discovering the gap at a filing deadline.
