These Terms and Conditions (“Terms”) govern your access to and use of our website (www.onebiz.co.in) and the services offered through it. By accessing the website, submitting an enquiry, or engaging our services, you agree to be bound by these Terms. If you do not agree, please do not use the website or our services.
1. General and Nature of Services
OneBiz provides business setup, compliance, digital signature certificate (DSC) issuance, accounting, and related consultancy services through qualified professionals. The website is for informational and lead-generation purposes only.
OneBiz is an independent private consultancy. We are not a government department, statutory authority, regulator, or an agent of any of them, and we are not affiliated with, endorsed by, or acting on behalf of the Ministry of Corporate Affairs, GST authorities, Income Tax Department, IP India, or any other government body. References to government departments and portals are made solely to describe the services we assist with. Any statutory fee, challan, or charge payable to a government authority is payable by you and is outside the scope of our professional fees unless expressly stated.
2. Ownership and Intellectual Property
OneBiz is a division owned by TNIT. All website content, designs, text, graphics, and materials are the intellectual property of TNIT and may not be copied, reproduced, modified, distributed, or reused, in whole or in part, without prior written permission. You are granted a limited, revocable, non-exclusive licence to view the website for your own business purposes only.
3. Website Content is Informational Only
Content published on this website, including blog articles, guides, checklists, and service descriptions, is provided for general information only. It does not constitute legal, tax, accounting, or professional advice, and it should not be relied upon or acted upon without obtaining specific advice for your circumstances. 4. Service Scope
All services provided by OneBiz (company registration, GST, FSSAI, DSC, accounting, etc.) are carried out through authorized professionals (CA/CS/Legal Experts). Government fees, third-party charges, or statutory dues are not included unless explicitly mentioned in a written proposal or invoice.
5. Your Responsibilities and Warranties
You agree that:
All information, documents, and declarations you provide are true, accurate, complete, and current, and you are authorised to share them.
You will respond promptly to requests for information, signatures, and clarifications, and will cooperate in completing verification and KYC requirements.
You will comply with all applicable laws and will not use our services for any unlawful, fraudulent, or misleading purpose, including the submission of false or fabricated documents.
You are responsible for maintaining your own statutory records and for meeting deadlines that fall on you as a director, partner, proprietor, or authorised signatory.
We rely on the information and documents you provide and are not obliged to independently verify them. Where a filing, approval, or registration is delayed, rejected, or penalised because of inaccurate, incomplete, or delayed information from you, we are not responsible for the outcome, and additional professional fees may apply to rectify it.
6. Professional Fees, Government Fees and Taxes
Our professional fees are separate from and exclusive of all statutory and government fees, which remain your liability. All fees are exclusive of applicable taxes unless stated otherwise, and taxes will be charged as required by law. Any additional work arising from a change in scope, regulatory requirement, or re-filing will be quoted and charged separately.
7. Payment Terms
Full or partial payment may be required before initiating any service. Payments once processed are non-transferable unless agreed otherwise in writing. We may suspend work on an engagement where agreed payments are outstanding, without liability for any resulting delay.
8. No Guarantee of Outcome
While OneBiz ensures accuracy and timeliness, all approvals, registrations, and processing times are determined solely by the respective government departments and third parties. We do not guarantee the approval, grant, or outcome of any application, nor any specific timeline. OneBiz shall not be held liable for delays, rejections, or losses caused by external authorities or factors outside our reasonable control.
9. Confidentiality
We will treat information and documents you share with us as confidential and will use them only for the purpose of delivering the engaged services, subject to disclosure required by law or by any statutory authority. You agree to keep confidential any non-public information, working methods, or materials shared with you by us.
10. Limitation of Liability
To the maximum extent permitted by law, the total aggregate liability of OneBiz and TNIT, whether in contract, tort, or otherwise, arising out of or in connection with an engagement shall not exceed the total professional fees actually received by us for the specific service giving rise to the claim.
In no event shall OneBiz or TNIT be liable for any indirect, incidental, special, consequential, punitive, or exemplary losses, or for any loss of profit, revenue, business, goodwill, or data, arising from service delays, regulatory changes, government action, third-party actions, or your reliance on website content.
11. Indemnity
You agree to indemnify, defend, and hold harmless OneBiz, TNIT, and their respective directors, officers, employees, and professionals from and against any claims, demands, actions, proceedings, losses, liabilities, penalties, damages, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) any inaccurate, incomplete, or misleading information or document provided by you; (b) any breach by you of these Terms or of applicable law; or (c) any third-party claim arising from your use of the services or website.
12. Force Majeure
We shall not be liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of government, changes in law or policy, portal or system outages, network failures, strikes, civil unrest, natural events, or pandemics.
13. Suspension and Termination
We may suspend or terminate an engagement or your access to the website, without liability, if you breach these Terms, provide false or fraudulent information, or engage in unlawful activity. You may discontinue using our services at any time; fees for work already performed and statutory fees already paid remain payable and non-refundable.
14. Communication Consent
By submitting your information, you consent to receive emails, calls, and WhatsApp messages related to your service request. You may opt out of non-essential communication at any time by writing to us.
15. Severability and Waiver
If any provision of these Terms is held to be invalid or unenforceable, that provision shall be severed and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision shall not constitute a waiver of it.
16. Assignment
You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations to an affiliate or successor entity.
17. Entire Agreement
These Terms, together with our Privacy Policy, Refund Policy, and any written proposal or invoice issued to you, constitute the entire agreement between you and OneBiz in respect of the website and supersede all prior discussions and understandings. Where a signed proposal or engagement letter conflicts with these Terms, the signed document shall prevail for that engagement.
18. Amendments
We reserve the right to update these Terms periodically. The revised version will be published on this page with an updated “Last Updated” date, and continued use of the website constitutes acceptance of the latest version.
19. Governing Law and Jurisdiction
These Terms are governed by the laws of India, and any disputes arising out of or in connection with them shall be subject to the exclusive jurisdiction of the courts at Mumbai, Maharashtra.
